Attorney Bio – James R. Carlisle, II

James R. Carlisle, IIJames R. Carlisle, II is the head of the firm’s Business Owner Exit Planning Group and a Director in the Corporate Department. He specializes in structuring, negotiating and closing mergers, acquisitions, divestitures and reorganizations, and he serves as corporate counsel for regional, national and international privately-held companies. Jim also advises emerging businesses in all stages of development, from formation to a liquidity exit event.

Jim earned a Certified Exit Planning designation (CExP) through training, rigorous testing and in-depth Exit Plan creation coursework. The CExP demonstrates that he is qualified to provide comprehensive, professionally-executed Exit Planning Services to the business-owning community.

Jim has extensive experience in entity organization and governance, equity and debt financing, disputes and relations of business owners, employee incentive programs, supply and manufacturing agreements, technology transfer and licensing, and joint ventures and strategic alliances. Jim has represented businesses, business owners, individual investors, institutional investors, and private equity funds. He also has counseled landlords, tenants, developers and businesses in acquiring, selling, leasing, financing and developing commercial, retail, office and industrial real estate.

Jim frequently functions as general counsel to emerging businesses, providing strategic advice and managing all of such clients’ legal affairs.

Jim has completed numerous complex acquisitions and divestitures for companies in the technology, biotechnology, industrial, manufacturing, energy, health care, automotive and service industries. He has also represented public and private technology consulting solutions and staffing companies with regard to software development, licensing, joint ventures, technology acquisition and e-commerce issues.

Jim served as an adjunct professor at Robert Morris University, where he taught a Master’s course entitled “Evolution of a Technology Business – Idea to IPO.” He has also been a faculty member of the National Business Institute and has been a frequent speaker on the subject of small business management at Duquesne University and numerous community colleges.

Representative transactions of Jim’s work include:

  • Auction-based acquisition of speech recognition business from a large, international public technology enterprise out of a bankruptcy in the United States Bankruptcy Court for the District of Delaware.
  • Represented a large health care information systems company in connection with its software development, business and licensing issues as it developed its various software products, expanded its user base, and completed an initial public offering.
  • Represented a university in licensing its technology to establish start-up companies.
  • Advised numerous investors in the formation and operation of venture funds.
  • Represented a regional automotive dealership in the formation of a new operating entity; the purchase agreements for acquisition of existing dealerships; the acquisition of real property from third-parties; dealer agreements with automobile manufacturers; and acquisition-related financing and floor plan financing with various lenders.
  • Auction-based acquisition of a flooring adhesives division of a large United States public company by a United States affiliate of a German conglomerate.
  • Represented an international chemical business in connection with a series of joint venture and corporate partnering arrangements.
  • Represented a real estate developer in acquiring, leasing, financing and developing mixed-use commercial development.
  • Organized a joint venture for the manufacture and sale of competitive swimwear on behalf of a German concern.
  • Represented a national grocery store chain in connection with a series of regional acquisitions.
