About Corporate Law

Houston Harbaugh’s Business Law team has broad experience helping clients raise capital; negotiate and close mergers, acquisitions, and divestitures; and draft complex commercial contracts. Our lawyers understand the different and unique challenges faced by businesses from start-ups to multi-million-dollar enterprises.

Whether a start-up or multi-million dollar enterprise, every company is faced with different and unique corporate law challenges. Our Business Law attorneys partner with company owners, executives and entrepreneurs on virtually any corporate law need, ranging from incorporating a business to drafting and reviewing complex commercial contracts to selling or merging a business.

For more than 30 years, our corporate lawyers have handled transactions such as the following:

  • Represented a joint venture formed to construct, finance, own and operate polypropylene manufacturing plants in Pennsylvania and Louisiana, which allowed our client to achieve a fully integrated manufacturing process of producing feedstocks needed in its plastics manufacturing business. This representation included a series of complex transactions which involved negotiating and drafting numerous documents, including operating agreements, license agreements, land leases, supply contracts, product sales contracts and project finance documents.
  • Represented a Pittsburgh-based chemical company in numerous transactions related to the company’s financing and operational needs, centering around the goal of the company’s principles to build value. Our lawyers worked in collaboration with investment bankers and accountants, resulting in the ultimate purchase of the company by a publicly traded entity through a cash and equity transaction.

What makes us different from other law firms – and what we do better – is our insistence on practical advice that balances the legal effort to the nature of the task at hand. Our goal is to ensure that every dollar spent on legal fees strengthens the competitiveness of the client’s business. Our lawyers are a part of the client’s business team, and we seek to understand the business objectives, and to make certain that our legal advice helps achieve these objectives. Houston Harbaugh will serve as a sounding board for decisions, or as Your Voice in any undertaking.
